This is How We Roll Contest: Official Rules and Conditions – NO PURCHASE NECESSARY TO ENTER OR WIN

By participating in the This is How We Roll Contest, you understand that these Official Rules and Conditions are binding on you and that the decisions of VPSI, Inc. (the “Sponsor” who may also be referred to as “VPSI”, “we”, “us”, or “our”) are final and binding on all matters pertaining to this Contest.

CONTEST PERIOD:

The Contest begins at 9:00 am Eastern Time (ET) on September 6, 2011 and ends at 4:30 pm (ET) on October 10, 2011 (the “Contest Period”).

ELIGIBILITY:

The This is How We Roll Contest is open only to legal residents of the 50 United States and the District of Columbia, who are 18 years of age or older. Employees of VPSI, Inc., and its parent, affiliates, subsidiaries, advertising and promotional agencies, print and judging organizations and any other company involved in the Contest, and their immediate families or members of the same households of any of the above, whether or not they are related, are not eligible to participate, enter or win. Void where prohibited.

HOW TO ENTER:

Participants can enter the Contest by submitting a video to youtube.com, then leaving a comment on the This is How We Roll blog post at www.van-pools.com for the appropriate week of the contest. The contest will be divided into three separate preliminary rounds. The winning entries from each preliminary round will automatically be entered into the final, Grand Prize round.

Video Submissions may be entered during the following time periods:

• Round One: Tuesday, Sept. 6, 2011 at 9:00 am (ET) to Monday, Sept. 12, 2011 at 4:30 pm (ET)
• Round Two: Tuesday, Sept. 13, 2011 at 9: a.m. (ET) to Monday, Sept. 19, 2011 at 4:30 p.m. (ET);
• Round Three: Tuesday, Sept. 20, 2011 at 9 a.m. (ET) to Monday, Sept. 26, 2011 at 4:30 p.m. (ET.)

Submissions must be accompanied with a completed comment form on the blog post, including the submitter’s name, valid e-mail address and the YouTube URL of the submitted video.

Contest open to people 18 years of age or older, and do not have to be a current VPSI customer. All Photo Captions will become the property of VPSI and VPSI has the rights to publish the Photo Caption on the Van-Pools.com blog at a later date. Incomplete entries will be disqualified.

Any Video Submission in which a driver is filming while operating a motor vehicle will be automatically disqualified from the Contest.

Sponsor is not responsible for misdirected or incomplete entries, or for any malfunctions, errors, failures or delays in computer systems, hardware, software or program malfunctions, or other errors, failures or delays in computer transmission or network connections of any kind whatsoever and howsoever caused. Sponsor is not responsible for incorrect or inaccurate entry information whether caused by Internet users or by any of the equipment or programming associated with or utilized in the Contest, or by any technical, human error or other error in the transmission, receipt or processing of the entries. If for any reason (including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other cause beyond the control of the Sponsor, which corrupts or affects the administration, security, fairness, integrity, or proper conduct of this Contest), the Contest is not capable of being conducted as described in these rules, Sponsor shall have the right, at its sole discretion, to cancel, terminate, modify or suspend the Contest. All entries become the sole property of Sponsor and will not be returned.

JUDGING PANEL AND SELECTION CRITERIA:

A panel of judges will review all valid video submissions based upon the following judging criteria: Creativity 25%, Uniqueness 50% and Relevance 25%. The committee will select three (3) Video Submissions for each preliminary round.

In the event of a tie, all tied Photo Captions will be re-judged by an additional judge selected by the Sponsor, who, using the judging criteria will break the tie. The Sponsor reserves the right to disqualify and remove from the website and other media any submission that, in its sole opinion, refers negatively, depicts negatively or in any way reflects negatively upon the Sponsor, the Competition or any other person or entity. The Sponsor is not obligated to use any submission. The judges’ decisions are final and binding in all matters relating to this competition.

CRITERIA FOR SELECTING GRAND PRIZE AND FIRST PRIZE WINNERS:

After the submission period for each round ends, the Sponsor will choose three (3) videos, which will be posted to the van-pools.com blog for voting by online poll. The voting periods for each round will encompass the following dates:

• Round One: Sept. 14, 2011 at 9 a.m. (ET) to Sept. 16, 2011 at 4:30 p.m. (ET)
• Round Two: Sept. 21, 2011 at 9 a.m. (ET) to Sept. 23, 2011 at 4:30 p.m. (ET)
• Round Three: Sept. 28, 2011 at 9 a.m. (ET) to Sept. 30, 2011 at 4:30 p.m. (ET)

The video Submission that receives the most votes during each preliminary round shall be deemed a “First Place” winner and shall automatically be entered into the final, Grand Prize round. Winners from each preliminary round will be announced via a blog post on the van-pools.com blog on the following dates:

• Round One: Sept. 19, 2011
• Round Two: Sept. 26, 2011
• Round Three: Oct. 3, 2011

The winning entries from each preliminary round will be posted to the van-pools.com blog on October 5 as Finalists and those videos will be eligible for voting for the Grand Prize. The Sponsor will post the Video Submissions entered in the final round on a blog post on the van-pools.com blog no later that 8:30 a.m. (ET) on Oct. 5, 2011. The post will contain a final online poll and the voting period for the Grand Prize will be from Oct. 5, 2011 at 8:30 a.m. (ET) until Oct. 7, 2011 at 4:30 p.m. (ET.)

At 4:30 pm (ET) on October 7, 2011, the Video Submission that received the most votes will be deemed the winning entry. The Sponsor will post a blog entry on www.van-pools.com announcing the winning video no later than 4:30 pm (ET) on October 10, 2011, after which, the Video Submission with the most votes will win a Sony HDR-XR150 120GB Handycam Camcorder.

OFFICIAL RULES REQUESTS:

To receive a copy of the Official Rules and Conditions, send a stamped, self-addressed envelope to: This is How We Roll Contest, VPSI, Inc., 1220 Rankin Dr., Troy, MI 48083. VT residents may omit return postage. Requests must be mailed separately and received no later than October 10, 2011.

ODDS OF WINNING:

Odds of winning depend on the total number of eligible entries received for the drawing. Submitting multiple entries may increase your chances of winning.

Potential winners will be notified by telephone and/or email and/or mail within two (2) days of winner selection. Non-compliance within this time period may result in disqualification and selection of an alternate winner. Return of any prize or prize notification as undeliverable may result in disqualification and selection of an alternate winner.

Winners’ entry and acceptance of any prize constitutes permission for Sponsor and its designees to use, display and transmit their names, employment affiliation, biographical information, photographs, images and likenesses for purposes of advertising and promotion in any and all media, in any format worldwide and without limitation or further compensation except where prohibited by law.

PRIZES:

• One (1) Grand Prize: Sony HDR-XR150 120 GB Handycam Camcorder (ARV: $499.99)
• Three (3) First Prizes: Amazon.com $100 Gift Card
• Total ARV of all prizes: $799.99

GENERAL:

Winner is responsible for all federal, state, and local taxes, surcharges or other fees imposed by any governmental authority. Prizes are not transferable. No prize substitutions or cash redemptions allowed except as provided herein. Sponsor reserves the right to award an alternate prize or cash of equal or greater value in lieu of the advertised prize if the advertised prize is unavailable for any reason. Sweepstakes is subject to all applicable federal, state, provincial, municipal and local laws and regulations. By entering, entrants agree to release and hold harmless Sponsor and their respective parents, subsidiaries, affiliates, prize suppliers, advertising and promotion agencies and any other company involved in the Contest, and each of their respective directors, officers, employees, shareholders and agents (collectively, “Released Parties”) from any and all liability or any injuries, loss or damage of any kind arising from or in connection with, directly or indirectly, in whole or in part, this Contest or the awarding, acceptance, possession or use of any prize associated herewith. The winners further acknowledge that neither Sponsor nor any Released Parties have any liability or responsibility for the prizes other than their award in accordance with these Official Rules and Conditions. Prizes are awarded “as is” with no warranty or guarantee, either express or implied by the Sponsor.
